I have to go with Batman, only for the reason that he is a ninja and ninjas are invincible.

Batman because I was introduced to Batman first. Spiderman is awesome too though.

Batman would win. He would probably have some sort of acidic batsuit that would decay any web. Also, bats eat spiders.

Ok, let's break this down.

Spiderman - genius level IQ teenager / scientist / inventor, with superhuman strength, speed, endurance, agility, stamina, durability, reflexes, coordination and balance. Has precognative sight, can stick to almost any surface, shoots an array of webs, balls and nets. Studies physics, chemistry, biology, engineering, mathmatics and mechanics. Invented and made his own suit without the financial backing of a billion dollar company.

Batman - a playboy who had his spine broken by a man with superhuman strength. Genius level IQ, extensive martial arts fighting experience. Expert detective. Has a lot of gadgets (most of which are designed to generate a distraction that would be useless against someone with spidey sense). Has an old butler that helps with tactics via a walkie talkie headset.

Kinda like them both. 

They just need to chill out. Spidey would love to hang with a billionaire.

Even tho I'm a marvel fan, I'd be fair and say that batman takes this one. He's more resourceful and tactical than our friendly neighbourhood hero. 

Spiderman with the Iron spider Armor would kick Batman's butt.

Spiderman hands down he is a genetic mutation.

Batman of course. A true gentleman and very handsome.
